These Terms of Service ("Terms") govern your access to and use of the website, products, and services (collectively, the "Service") provided by MT Desk ("we", "us", or "our") at https://mtdesk.ai. By creating an account or using the Service you agree to be bound by these Terms.

1. Eligibility

You must be at least 16 years old and capable of forming a binding contract to use the Service. By using the Service you represent that you meet these requirements. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Account Registration

You must provide accurate and complete information when creating an account. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. Notify us immediately at info@mtdesk.ai if you suspect unauthorized access.

3. Use of the Service

3.1 Permitted Use

The Service allows you to create AI-powered chatbots, train them with your content, and deploy them across channels including your website, Facebook Messenger, Instagram, and WhatsApp. You may use the Service for lawful business purposes in accordance with these Terms.

3.2 Prohibited Conduct

You agree not to:

• Use the Service for any unlawful, fraudulent, or harmful purpose.
• Distribute spam, malware, or deceptive content through chatbots.
• Impersonate any person or entity, or misrepresent your affiliation.
• Attempt to gain unauthorized access to any part of the Service or its infrastructure.
• Interfere with or disrupt the integrity or performance of the Service.
• Scrape, reverse-engineer, or extract data from the Service except as expressly permitted.
• Violate any applicable laws or the terms of any third-party platform (including Meta's policies) while using the Service.

4. Your Content

You retain ownership of all content you upload or create through the Service ("Your Content"). By uploading content you grant us a limited, non-exclusive license to use, process, and store that content solely to provide and improve the Service. You are responsible for ensuring you have all necessary rights to the content you upload.

5. Third-Party Platforms & Meta Platform Terms

The Service integrates with third-party platforms such as Facebook, Instagram, and WhatsApp (collectively, "Meta Platforms"). Your use of those platforms is subject to their respective terms and policies. We are not responsible for the actions, content, or policies of any third party. You are responsible for complying with all applicable third-party terms when using the Service.

When you connect a Meta Platform account to the Service, you acknowledge that:

• Your use of data received from Meta is subject to the Meta Platform Terms and Developer Policies.
• We access your Meta account data only with your explicit authorization and only for the purpose of providing the Service.
• You may revoke access at any time by disconnecting your Meta account from the Service or removing the app from your Meta account settings.
• Upon disconnection, we delete all data received from Meta within 30 days in accordance with our Privacy Policy and Data Deletion policy.

6. Fees and Payment

Certain features of the Service require a paid subscription. Fees are billed in advance on a recurring basis (monthly or annually) through Stripe. All fees are non-refundable except as required by law. We may change pricing with 30 days' notice. Continued use after a price change constitutes acceptance of the new pricing.

7. Intellectual Property

The Service, including its design, code, logos, and documentation, is owned by MT Desk and protected by intellectual property laws. These Terms do not grant you any right to use our trademarks, logos, or branding without prior written consent.

8. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or completely secure. AI-generated responses may contain inaccuracies; you are responsible for reviewing chatbot output.

9. Limitation of Liability

To the maximum extent permitted by law, MT Desk shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenue, whether incurred directly or indirectly, arising from your use of the Service. Our total liability shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

10. Indemnification

You agree to indemnify and hold harmless MT Desk and its officers, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.

11. AI Output & End User Responsibility

The Service uses artificial intelligence to generate chatbot responses. AI output is provided for informational purposes only and does not constitute professional advice of any kind, including but not limited to legal, medical, financial, or tax advice. You acknowledge that AI-generated responses may be incomplete, inaccurate, or inappropriate.

You are solely responsible for how your chatbot interacts with your end users. You must review and configure your chatbot's behavior to ensure its responses are appropriate for your use case. MT Desk has no direct relationship with your end users and assumes no liability for any actions taken by your end users based on chatbot responses. You agree to indemnify MT Desk against any claims brought by your end users arising from chatbot interactions.

12. Termination

We may suspend or terminate your access to the Service at any time for violation of these Terms or for any reason with reasonable notice. You may cancel your account at any time through your account settings or by contacting us. Upon termination, your right to use the Service ceases immediately. We will delete your data in accordance with our Privacy Policy.

13. Dispute Resolution

Any dispute, controversy, or claim arising out of or relating to these Terms or the Service shall be resolved through binding arbitration administered in accordance with the rules of a recognized arbitration body in the jurisdiction in which MT Desk operates. The arbitration shall be conducted by a single arbitrator, and the decision shall be final and binding.

You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. You waive any right to participate in a class action lawsuit or class-wide arbitration against MT Desk.

14. Force Majeure

MT Desk shall not be liable for any failure or delay in performing its obligations under these Terms where such failure or delay results from events beyond our reasonable control, including but not limited to natural disasters, acts of government, internet or infrastructure outages, third-party service provider failures, cyberattacks, pandemics, or other force majeure events.

15. Modifications

We may revise these Terms at any time by posting the updated version on this page and updating the "Last updated" date. Material changes will be communicated via email or in-app notice. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

16. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which MT Desk operates, without regard to conflict of law principles.

17. General Provisions

Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect.

Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and MT Desk regarding the Service and supersede all prior agreements, understandings, and communications, whether written or oral.

Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. MT Desk may assign its rights and obligations under these Terms without restriction, including in connection with a merger, acquisition, or sale of assets.

No Waiver

Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision. Any waiver must be in writing and signed by MT Desk to be effective.
